These Legal Terms constitute a legally binding agreement between you (personally or on behalf of an entity) and Navya Sajjan (doing business as Yuktii DentalOS), Uppal, Hyderabad, Telangana 500039, India. By accessing the Services you confirm that you have read, understood, and agreed to be bound by all of these Legal Terms.

1. Our Services
- Yuktii DentalOS is a cloud-based dental practice management platform designed to help dental clinics manage patient records, appointments, treatment planning, billing, prescriptions, clinical documentation, reports, and operational workflows.
- The platform may also provide AI-assisted features to support treatment planning and administrative tasks.
- The Services are intended for use by authorized dental professionals, clinic staff, and healthcare organizations aged 18 or older.
- The information provided through the Services is not intended for distribution or use in any jurisdiction where such use would be contrary to law or regulation, or which would subject us to any registration requirement.
- We operate yuktii.org, the cloud application app.yuktii.org, and related products and services (collectively, the "Services").
2. Intellectual Property Rights
- We are the owner or licensee of all intellectual property rights in the Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (the "Content"), and the trademarks, service marks, and logos contained therein (the "Marks").
- The Content and Marks are protected by copyright, trademark, and other intellectual property laws and are provided "AS IS" for your internal business purposes only.
- Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and download or print any portion of the Content to which you have properly gained access, solely for your internal business purposes.
- No part of the Services, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, or otherwise exploited for any commercial purpose without our express prior written permission.
- Requests for use of Content or Marks: marketing@yuktii.org.
- We reserve all rights not expressly granted. Any breach of these Intellectual Property Rights constitutes a material breach and your right to use the Services will terminate immediately.
3. User Representations
- You have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
- All registration, account, and billing information you provide is accurate, complete, and current.
- You will maintain the confidentiality of your account credentials and are responsible for all activity under your account.
- You will use the Services only for lawful purposes and in compliance with applicable laws, regulations, and professional standards.
- You will not store, transmit, or process data in violation of applicable privacy, healthcare, or data protection laws.
- You have obtained all required patient consents, authorizations, and legal permissions necessary to collect, upload, store, and process Healthcare Data through the Services.
- You will not upload malicious code or content that may interfere with the operation, security, or availability of the Services.
- You will not attempt to gain unauthorized access to any part of the Services, other customer accounts, systems, networks, or data.
- You acknowledge that clinical decisions, diagnoses, prescriptions, and treatment plans remain the sole responsibility of licensed healthcare professionals and not Yuktii DentalOS.
- Healthcare Data responsibility: you are solely responsible for the accuracy, completeness, legality, and integrity of all patient records, treatment plans, clinical notes, prescriptions, and other Healthcare Data uploaded to the Services.
4. Purchases and Payment
- By subscribing to the Services you agree to provide current, complete, and accurate billing information and to keep it updated.
- All fees are payable in Indian Rupees (INR) unless otherwise agreed in writing.
- You authorize Yuktii DentalOS and its payment service providers to charge applicable subscription fees, taxes, and other charges.
- Failure to pay applicable fees may result in suspension or termination of access.
- Taxes: fees do not include applicable taxes unless expressly stated. Customers are responsible for all applicable GST, VAT, withholding taxes, duties, or similar charges.
- Pricing changes: we may modify subscription fees or plans. Reasonable advance notice will be provided before pricing changes take effect; continued use after the effective date constitutes acceptance.
5. Subscriptions
- Billing and renewal: subscription plans are billed according to the pricing and terms agreed at purchase. Unless otherwise specified in a separate written agreement, subscriptions do not renew automatically.
- Free trial: we may offer a free trial to eligible new users, limited to one trial per clinic or organization unless stated otherwise. At trial end, access to certain features may be restricted until a paid subscription is purchased.
- Cancellation: customers may cancel at any time by contacting us at marketing@yuktii.org. Cancellations take effect at the end of the current subscription term unless otherwise agreed in writing. Refunds are governed by our Refund & Cancellation Policy.
- Fee changes for existing subscribers: material pricing changes will be communicated in advance through email or in-application notice and will generally take effect at the next renewal.
- Enterprise and custom plans: certain customers may be subject to separate written agreements. In the event of conflict between these Terms and a separate written agreement, the written agreement prevails.
6. Prohibited Activities
Platform security
- No unauthorized access to any account, system, database, API, server, or network connected to the Services; no sharing login credentials with unauthorized individuals; no circumventing security controls, access restrictions, or audit mechanisms; no reverse engineering, decompiling, or disassembling the Services.
- No introduction of malware, ransomware, viruses, trojans, worms, or any malicious software; no vulnerability scanning or penetration testing without prior written authorization from Yuktii DentalOS.
Patient data
- No accessing, modifying, exporting, disclosing, or using patient information without proper authorization; no uploading patient records without legally required patient consent; no using patient information for marketing or advertising without appropriate legal authorization.
- No intentionally creating duplicate, false, misleading, or fraudulent patient, clinic, appointment, billing, treatment, prescription, or healthcare records.
AI features
- No relying solely on AI-generated recommendations for diagnosis, treatment decisions, prescriptions, or patient care; no representing AI-generated outputs as professional medical advice; no using AI features for patients without recorded AI consent.
- No using AI features to generate unlawful, misleading, harmful, discriminatory, or fraudulent content; no uploading confidential third-party information into AI features without authorization.
System abuse
- No bots, automated scripts, crawlers, scrapers, data-mining tools, or AI agents without written permission; no interference with or disruption of the Services; no excessive requests intended to overload the platform; no bypassing subscription, user, or feature limits.
Intellectual property
- No copying, reproducing, modifying, distributing, selling, or exploiting any portion of the Services without written authorization; no removing or altering copyright or proprietary notices; no using Yuktii trademarks without authorization.
Fraudulent or unlawful conduct
- No unlawful, fraudulent, deceptive, or unethical activities; no impersonation; no submitting false registration information; no using the Services to compete with or develop a competing product; no harassing other users, patients, clinics, or our representatives.
Enforcement: we may investigate suspected violations and may suspend, restrict, or terminate access without prior notice. Serious violations may be reported to law-enforcement or regulatory authorities.
7. User Data and Ownership
- You retain all rights, title, and interest in data you upload, create, store, or manage through the Services ("User Data"). Yuktii DentalOS does not claim ownership of User Data.
- You grant Yuktii DentalOS a limited, non-exclusive, worldwide license solely to host, store, process, transmit, back up, and display User Data as necessary to provide, maintain, secure, troubleshoot, and improve the Services and to comply with legal obligations.
- This license does not grant us the right to sell, publish, distribute, or commercially exploit User Data.
- You represent and warrant that you have the rights and legal basis to upload and process User Data; that patient information has been collected in accordance with applicable law; and that User Data does not infringe third-party rights.
- We may access User Data only when reasonably necessary for technical support, security investigation, legal compliance, or maintaining the operation and security of the Services.
8. Services Management
- We reserve the right, but not the obligation, to monitor the Services for compliance with these Terms.
- We may investigate suspected violations, security incidents, or unauthorized access.
- We may restrict, suspend, or terminate access where necessary to protect the security, integrity, or lawful operation of the platform.
- We may remove or quarantine content that may compromise security or violate law or these Terms.
- We may perform maintenance, upgrades, security patches, and backups.
- We may modify, discontinue, or enhance features at any time. Where reasonably practicable, we will provide advance notice of scheduled maintenance.
9. Privacy, Healthcare Data, and Regional Compliance
- Our collection, use, storage, processing, disclosure, and protection of personal information is governed by our Privacy Policy and, for clinic customers, our Data Processing Addendum (DPA), both of which form part of these Terms.
- Healthcare Data: the Services are designed for storage and management of healthcare-related information. Customers remain solely responsible for ensuring they possess all legal rights, authorizations, notices, and patient consents necessary for such processing.
- Regional compliance: customers are responsible for ensuring their use of the Services complies with all applicable healthcare, privacy, data-protection, consent, professional, and recordkeeping laws in their jurisdiction, including, where applicable, the laws of India, Singapore, Malaysia, and the United Arab Emirates.
- Nothing in these Terms constitutes legal advice or a representation that the Services automatically satisfy all regulatory obligations applicable to a customer.
10. Intellectual Property Complaints
- If you believe any material available through the Services infringes your intellectual property rights, notify us at marketing@yuktii.org.
- Your notice must include: identification of the IP allegedly infringed; identification and location of the allegedly infringing material; your contact information; a good-faith statement that the disputed use is not authorized; and a statement that your notice is accurate and that you are authorized to act for the rights holder.
- We may investigate and remove or restrict access to allegedly infringing material where appropriate.
11. Term and Termination
- These Terms remain effective while you access or use the Services.
- We may suspend, restrict, or terminate access immediately if: you violate these Terms; you fail to pay applicable fees; your use creates security, legal, operational, or compliance risks; you engage in Prohibited Activities; or continued access may negatively affect the Services, other customers, or third parties.
- Upon termination: your right to access the Services ceases; access to accounts and data may be restricted or disabled; outstanding fees remain payable; and we may retain certain information where required by law, security requirements, dispute resolution, or legitimate business purposes.
- Provisions that by their nature survive termination (including disclaimers, limitations of liability, IP rights, and dispute resolution) survive termination.
12. Data Export and Deletion
- Export: administrators may export their clinic's complete dataset (patients, appointments, treatments, prescriptions, billing, payments, inventory, and staff records) at any time in machine-readable JSON format from within the Services. Customers are encouraged to export their data before account termination.
- Deletion and erasure: administrators may deactivate patient records and may permanently and irreversibly anonymize a patient's personal information from within the Services in response to a valid erasure request, while clinical and financial records are retained in de-identified form to meet medical-record and accounting retention obligations.
- Account-level deletion requests may be submitted to marketing@yuktii.org and are handled as described in the Privacy Policy and DPA.
13. Modifications, Service Availability, and Interruptions
- We continuously improve the Services and may add, modify, suspend, discontinue, or replace features; release updates and security improvements; and modify plans and limits in accordance with these Terms.
- The Services may occasionally be unavailable due to scheduled or emergency maintenance, updates, infrastructure upgrades, third-party outages, connectivity issues, or force majeure.
- Where reasonably practicable we will give advance notice of scheduled maintenance.
- We are not liable for temporary interruptions beyond our reasonable control.
14. Governing Law
- These Terms and any dispute arising from or relating to the Services are governed by the laws of India.
- Subject to the dispute-resolution provisions in Section 15, the courts located in Hyderabad, Telangana, India have exclusive jurisdiction.
15. Dispute Resolution
- Good-faith resolution: the parties will first attempt to resolve any dispute through good-faith negotiation. Either party may provide written notice describing the dispute.
- Arbitration: if not resolved within thirty (30) days of written notice, the dispute shall be finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 of India — conducted by a single arbitrator mutually appointed by the parties, held in Hyderabad, Telangana, in English, under Indian law. The arbitrator's decision is final and binding.
- Restrictions: no arbitration shall be joined with any other proceeding; there is no right to arbitrate on a class basis; no dispute may be brought in a purported representative capacity.
- Exceptions: disputes seeking to enforce or protect intellectual property rights; disputes arising from allegations of theft, piracy, invasion of privacy, or unauthorized use; and claims for injunctive relief are not subject to arbitration and may go directly to court.
16. Corrections
- The Services may contain typographical errors, inaccuracies, or omissions, including in descriptions, pricing, and availability.
- We reserve the right to correct any errors and to change or update information at any time.
- For changes to these Legal Terms themselves, the notice process in the Agreement section above applies.
17. Disclaimer
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We make no warranties about the accuracy or completeness of the Services' content and assume no liability for: (1) errors or inaccuracies of content; (2) personal injury or property damage resulting from your use; (3) unauthorized access to our servers or stored personal information; (4) interruption or cessation of transmission; (5) bugs, viruses, or the like transmitted by third parties; or (6) any loss or damage incurred as a result of content made available via the Services.
18. Limitations of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION ARISING.
Some laws do not allow certain limitations; if they apply to you, some of the above may not apply and you may have additional rights.
19. Indemnification
- You agree to defend, indemnify, and hold us harmless, including our affiliates, officers, agents, partners, and employees, from any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party arising out of:
- (1) your User Data; (2) your use of the Services; (3) your breach of these Terms; (4) your breach of your representations and warranties; (5) your violation of third-party rights, including intellectual property rights; or (6) any harmful act toward another user.
- We may assume the exclusive defence of any matter subject to indemnification, at your expense, and you agree to cooperate with our defence.
20. User Data Backups
- We maintain data you transmit to the Services and perform regular routine backups for operational purposes.
- You remain responsible for maintaining your own export copies of data you wish to independently retain (see Section 12).
- To the extent permitted by applicable law, and except as expressly stated in the DPA, we are not liable for loss or corruption of data.
21. Electronic Communications, Transactions, and Signatures
- Visiting the Services, sending emails, and completing online forms constitute electronic communications.
- You consent to receive electronic communications and agree that agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing.
- You agree to the use of electronic signatures, contracts, orders, and records, and to electronic delivery of notices, policies, and records of transactions.
22. SMS, WhatsApp, Email, and Service Communications
- We may send appointment reminders, account notifications, security alerts, billing communications, verification codes (OTPs), support communications, and other service-related messages via SMS, WhatsApp, email, or other supported channels.
- By providing contact information and using the Services, you consent to receiving such communications where permitted by law.
- Patient messaging: messages to patients (e.g., appointment reminders via WhatsApp) are sent only where the patient's notification consent has been recorded in the Services. Consent is per-patient and can be updated at any time.
- Opting out: users may opt out of non-essential communications by contacting us at marketing@yuktii.org. Service-related, security, account, billing, and appointment communications necessary for operation may continue.

23. Miscellaneous
- These Legal Terms and any policies posted on the Services constitute the entire agreement between you and us.
- Our failure to enforce any right or provision is not a waiver. We may assign our rights and obligations at any time.
- We are not liable for any loss caused by events beyond our reasonable control.
- If any provision is unlawful, void, or unenforceable, it is severable and does not affect the remaining provisions.
- No joint venture, partnership, employment, or agency relationship is created by these Terms.
- These Terms will not be construed against us by virtue of having drafted them.
24. Clinical Decision and Professional Responsibility
- Yuktii DentalOS is a software platform intended to assist dental clinics and healthcare professionals with practice management and related operational activities.
- The Services, including AI-assisted features, are provided solely as tools to support clinical and administrative workflows.
- Yuktii DentalOS does not provide medical, dental, diagnostic, treatment, legal, or professional advice and does not replace the independent judgment of qualified healthcare professionals.
- Users are solely responsible for all diagnoses, treatment plans, prescriptions, patient communications, healthcare decisions, and clinical outcomes, and for verifying the accuracy and appropriateness of all information and AI-generated outputs before relying on them.
- Yuktii DentalOS shall not be liable for any injury, loss, claim, malpractice allegation, regulatory action, or adverse outcome resulting from clinical decisions or reliance on information generated, stored, or displayed through the Services.
